TERMS AND CONDITIONS OF USE FOR THE MOVOPACK REUSABLE PACKAGING SERVICE

Art. 1 — Introduction and scope of application

Movopack SB S.r.l., with its registered office in Milan (20146), Via Sardegna 19, tax code and VAT number 11550400961 (hereinafter, “Movopack”), has devised and operates the “Movopack Reusable Circuit”, an integrated reusable packaging system comprising the supply of reusable bags made from recycled polypropylene (RPP), known as “Return Bags”, their provision to customers via authorised commercial partners (hereinafter, the “Retailers”), collection through voluntary return, reconditioning operations and reintroduction into the reuse circuit. These Terms and Conditions of Use (hereinafter the “T&Cs”) govern the End Customer’s participation in the Movopack Reusable Circuit and apply to anyone using a Return Bag in connection with a purchase made from a Retailer participating in the programme, regardless of the channel of purchase, whether it be a physical shop, an e- commerce platform or any other distribution channel. The End Customer’s use of the Return Bag is governed by these T&Cs in the version in force at the time of use. Movopack reserves the right to update these T&Cs periodically in accordance with the provisions of Article 15.

Art. 2 — Definitions

For the purposes of these T&Cs, the following terms shall have the meanings set out below, unless the context otherwise requires.

“Movopack Reusable Circuit” means the system organised and managed by Movopack, which comprises the supply of Return Bags to Retailers, their provision to End Customers, collection through voluntary return, reconditioning operations and the reintroduction of the Return Bags into the reuse circuit.

“Return Bag” means the reusable packaging made from recycled polypropylene (RPP) or non-recycled plastic, designed, manufactured and supplied by Movopack, intended for the transport of products purchased by the End Customer and designed to withstand multiple cycles of use.

"End Customer" means the individual who uses a Return Bag as part of a purchase made from a Retailer participating in the Reusable Scheme.

“Retailer” means Movopack’s authorised commercial partner from whom the End Customer makes a purchase and who provides the Return Bag as part of their sales service.

"Delivery" means the provision of the Return Bag to the End Customer by the Retailer, in the interests of and on behalf of Movopack.

"Return" means the voluntary return of the Return Bag by the End Customer via one of the channels set out in these T&Cs.

“Reuse” means the repeated use of the Return Bag by the End Customer to make new purchases, without a new Delivery taking place.

“Reconditioning Operations” means the technical, logistical and quality-assurance activities carried out by Movopack on returned Return Bags, including inspection, sorting, integrity checks, cleaning, sanitisation, functional restoration and verification of compliance with standards of fitness for use, with a view to reintroducing them into the reuse cycle.

"Data Carrier" means the unique identification code in the form of a barcode, QR code or DataMatrix affixed by Movopack to each Return Bag.

Art. 3 — Description of the service and operation of the Reusable Circuit

The Movopack Reusable Circuit operates according to a circular economy model aimed at reducing packaging waste through the systematic reuse of Return Bags. Movopack supplies the Return Bags to Retailers participating in the programme, who make them available to End Customers as part of their sales activities, as an integral part of the purchasing service. The End Customer uses the Return Bag to carry the products purchased and, once they have finished using it, is encouraged to return it voluntarily via one of the return channels set out in these T&Cs. Returned Return Bags are subjected by Movopack to reconditioning operations and, where they are found to be fit for use in accordance with the technical, functional, quality and health and hygiene standards defined by Movopack, they are reintroduced into the Reusable Circuit for a new cycle of use. Return Bags which, following the reconditioning process, are no longer suitable for reuse are sent for recycling or disposal in accordance with Movopack’s internal procedures and in compliance with applicable environmental legislation. The Reusable Circuit is designed and managed in accordance with the principles and requirements of Regulation (EU) 2025/40 on packaging and packaging waste.

Art. 4 — Ownership of the Return Bag and nature of the relationship

The Return Bags are and remain the exclusive property of Movopack at every stage of their life cycle, from production to final disposal, including the periods during which they are held by the Retailer, used by the End Customer and reconditioned. The provision of the Return Bag to the End Customer does not transfer ownership of it nor does it constitute a sale, without prejudice to the End Customer’s right to use the Return Bag in accordance with these T&Cs for the entire duration of its useful life. The End Customer acquires a temporary and functional right of use over the Return Bag, limited to the purpose of transporting the purchased products and subsequent participation in the Reusable Circuit through Return or Reuse. This right of use constitutes qualified possession under the applicable civil law and does not confer upon the End Customer any real right, nor any right to transfer, resell or dispose of the Return Bag to third parties for purposes other than those provided for in these T&Cs.

Art. 5 — Return procedures

The return of the Return Bag is voluntary and free of charge and may be carried out by the End Customer via the channels described below. The End Customer may return the Return Bag at any retail outlet of a Retailer participating in the Movopack Reusable Scheme, handing it over to sales staff, provided that the Return Bag is empty and free of contents. Alternatively, where provided for by the programme applicable to the relevant Retailer, the End Customer may return the Return Bag via standard postal service, placing it in any active postbox in Europe without the need for postage, following the instructions printed on the Return Bag itself or accessible via the Data Carrier. Movopack may make further return channels available, giving notice thereof through its own information channels and the Data Carrier. Failure to return the Return Bag does not result in the imposition of penalties on the End Customer, except as may be provided for in relation to the deposit scheme referred to in Article 7 of these T&Cs. The End Customer is encouraged to return the Return Bag once it has been used, in order to contribute to the operation of the Reusable Circuit and to the reduction of the environmental impact associated with single-use packaging.

Art. 6 — Reuse of the Return Bag

The End Customer may reuse the Return Bag to make new purchases at any retail outlet of the same Retailer or of another Retailer participating in the Movopack Reusable Scheme, without this constituting a new Delivery. In the event of reuse at a physical retail outlet, shop staff will scan the identification code on the Return Bag (barcode, QR code or other enabled technology) in order to record the transaction in the Reusable Circuit’s tracking system and to count the reuse cycles carried out. The End Customer is required to check, prior to each reuse, that the Return Bag is intact, clean and fit for purpose, in accordance with the minimum quality and hygiene standards defined by Movopack. Reuse is permitted until the end of the Return Bag’s useful life, in accordance with the technical and health and hygiene standards periodically communicated by Movopack. Movopack accepts no liability for any refusal to allow reuse by shop staff should the Return Bag fail to comply with the aforementioned standards.

Art. 7 — Deposit and return incentives

Where provided for in the commercial programme of the Retailer participating in the Reusable Scheme, upon delivery of the Return Bag, the Retailer may require the End Customer to pay a security deposit, which shall be indicated separately and distinctly from the price of the products purchased, in accordance with the applicable legislation on pre-contractual information and price transparency. The security deposit will be refunded to the End Customer upon return of the Return Bag in a condition that meets the specified eligibility standards, in accordance with the procedures and timeframes communicated by the Retailer and in compliance with the applicable legislation on payment services. The Retailer may also award the End Customer bonuses, discounts, credits, loyalty points or other promotional benefits as part of its own loyalty or incentive programme, in connection with the return or reuse of the Return Bag. Movopack is in no way responsible for the management, allocation, quantification, value or payment of such incentives and the deposit, which fall entirely within the exclusive competence and responsibility of the Retailer. Movopack merely provides the Retailer with the validation data necessary to confirm that the Return or Reuse has taken place, without assuming any direct obligations towards the End Customer in relation to the refund of the deposit or the awarding of rewards.

Art. 8 — Traceability and Data Carrier

Each Return Bag is fitted with a unique identification code in the form of a barcode, QR code or DataMatrix, which enables the tracking of the Return Bag’s cycles of use, Return and Reconditioning within the Circuit, forming the basis for the calculation of environmental performance indicators and for compliance with the reporting obligations set out in the applicable legislation. In addition, each Return Bag bears a QR Code which enables the End Customer to access instructions relating to the Reusable Circuit, the return procedures, the material composition of the Return Bag and, where available, the resulting environmental sustainability data. Movopack is and remains the owner of the Data Carrier and the traceability data contained therein or linked to it, subject to compliance with data protection legislation regarding any data that may relate to the End Customer. The End Customer undertakes not to remove, alter, conceal, cover or render illegible the Data Carrier affixed to the Return Bag. Any damage to or removal of the Data Carrier could prevent the correct recording of the Return or Reuse and, consequently, the payment of any incentives provided for under the Retailer’s programme.

Art. 9 — Nature of the relationship and absence of a direct contractual relationship

Movopack does not enter into any direct contractual relationship with the End Customer within the Reusable Scheme. These T&Cs are of an informative and regulatory nature and govern the conditions of participation in the Reusable Scheme, without constituting a synallagmatic contract between Movopack and the End Customer or conferring upon the latter the status of a contracting party in dealings with Movopack. The End Customer’s commercial relationship is established exclusively with the Retailer, who is the sole party to the sales relationship and the sole party liable to the End Customer in relation to the sale of products, the setting of prices, the awarding of rewards or incentives and, in general, all obligations arising from the commercial relationship. The Reseller does not act as an agent, mandatary or representative of Movopack in relation to the End Customer. Any interactions by the End Customer with the digital tools made available by Movopack, such as web applications, platforms for registering Returns or information pages accessible via the Data Carrier, are of a purely technical nature and serve solely to facilitate the operational management of the Reusable Circuit; they do not entail the establishment of a contractual relationship, nor do they give rise to any obligations, guarantees or direct liabilities on the part of Movopack towards the End Customer.

Art. 10 — Obligations and liabilities of the End Customer

The End Customer undertakes to use the Return Bag exclusively for the purposes set out in these T&Cs, namely the transport of products purchased from Retailers participating in the Reusable Circuit and the subsequent Return or Reuse thereof, and to take reasonable care of it as required by the nature of the goods and their intended use. The End Customer may not transfer the Return Bag for consideration, resell it, hire it out or use it for commercial purposes or for any purposes other than those indicated above. The End Customer is liable for any deterioration of the Return Bag that exceeds normal wear and tear resulting from proper use, including deterioration attributable to improper use, failure to follow the operating instructions printed on the Return Bag or accessible via the Data Carrier, or negligence in its safekeeping. Movopack shall not be liable for any damage to products transported in the Return Bag that is attributable to non-compliant use by the End Customer, overloading, exposure to heat sources or chemical agents, or any other circumstance not attributable to inherent defects in the Return Bag.

Art. 11 — Limitation of Liability

To the extent permitted by mandatory consumer protection legislation, Movopack accepts no liability towards the End Customer for indirect, consequential or incidental damages, or for loss of profit, in any way connected with the use of the Return Bag or participation in the Reusable Scheme. Movopack shall also not be liable for any interruptions, delays, malfunctions or temporary unavailability of the Reusable Scheme, the Return Channels or the digital tools, which are not attributable to Movopack’s wilful misconduct or gross negligence. Under no circumstances shall Movopack’s total liability towards the End Customer, for any cause and on any grounds, exceed the value of any security deposit paid by the End Customer in relation to the Return Bag affected by the event giving rise to the damage. Movopack shall in no circumstances be liable for any failure to perform or inability to perform arising from events of force majeure, including, by way of example and without limitation, natural disasters, acts of public authorities, pandemics, armed conflicts, strikes, or significant disruptions to supply chains or the postal service. The limitations set out in this article shall not apply in cases of wilful misconduct or gross negligence on the part of Movopack, nor in relation to the consumer’s mandatory rights provided for by applicable legislation.

Art. 12 — Environmental Statements and Sustainability

The Return Bags are designed by Movopack to help reduce packaging waste through systematic reuse. Every environmental claim made by Movopack in relation to the Return Bags and the Reusable Circuit is based on objective and verifiable data. Movopack undertakes to avoid generic, non-specific, unverifiable or potentially misleading environmental claims, in compliance with current legislation and applicable guidelines on environmental communications, with particular reference to the proposed European Directive on environmental claims (the so-called ‘Green Claims Directive’). The End Customer is informed that the environmental benefits of the Reusable Circuit are proportional to the number of reuse cycles actually completed by each Return Bag and depend on the active participation of End Customers in the Return process. Any environmental statements, communications or sustainability claims made independently by the Retailer and not previously approved in writing by Movopack are in no way attributable to the latter.

Art. 13 — Processing of personal data

In the context of participation in the Reusable Circuit, Movopack may process the End Customer’s personal data in its capacity as data controller pursuant to Regulation (EU) 2016/679 (GDPR). The categories of personal data that may be processed include traceability data collected via the Data Carrier, such as the unique identifier of the Return Bag, delivery, return and reuse events with the relevant date and details of the point of sale, the End Customer’s contact details such as their email address or other identifier necessary for recording transactions and, where applicable, for managing the security deposit refund, as well as any payment details strictly necessary for the payment of that refund. The processing is carried out for the following purposes: the management and operation of the Reusable Circuit, compliance with the traceability and reporting obligations set out in Regulation (EU) 2025/40, the management of deposit refunds where applicable, and the sending of service communications strictly related to the operation of the system. The legal bases for the processing are, depending on the applicable purpose, the performance of pre-contractual or contractual measures requested by the data subject, Movopack’s legitimate interest in the proper management of the Scheme and in regulatory compliance, as well as compliance with legal obligations. Personal data will be retained for the time strictly necessary to fulfil the stated purposes and, in any event, for no longer than the periods provided for by the applicable tax, accounting and environmental legislation. Movopack implements appropriate technical and organisational measures to ensure the security and confidentiality of the data processed. For the full privacy notice on the processing of personal data, including information regarding the data subject’s rights under Articles 15 to 22 of the GDPR, how to exercise those rights, the recipients of the data and the right to lodge a complaint with the Data Protection Authority, the End Customer may consult Movopack’s Privacy Policy, available on the Movopack website at www.movopack.com, at the points of sale of Retailers participating in the Reusable Scheme, or via the Data Carrier attached to the Return Bag.

Art. 14 — Intellectual Property

All intellectual and industrial property rights relating to the Return Bags, the Movopack Reusable Scheme, the trade marks, logos, trade names, design, technical documentation, software, databases, know-how and any content, material or technology used or developed by Movopack in connection with the service are and remain the exclusive property of Movopack. No provision of these T&Cs confers upon the End Customer any right, licence or authorisation in relation to the aforementioned intellectual property rights, save for the right to the temporary use of the Return Bag in accordance with the terms and for the purposes expressly set out in these T&Cs. The End Customer is prohibited from reproducing, modifying, distributing, communicating to the public or using for commercial purposes the trademarks, logos, designs or any other distinctive features of Movopack affixed to the Return Bags or associated with the Reusable Scheme, without Movopack’s prior written consent.

Art. 15 — Amendments and updates

Movopack reserves the right to amend or update these Terms and Conditions at any time, for reasons of regulatory compliance, technical adjustments, service developments or to improve the End Customer’s experience. Any amendments will be published with reasonable notice and made available to the End Customer via the Reusable Network’s information channels, including the Movopack website, information materials displayed at participating retailers’ points of sale, and information accessible via the Data Carrier. The updated version of the T&Cs will apply to all uses of the Return Bag following the publication date of the new version. Continued use of the Return Bag following the publication of the amendments shall constitute acceptance of the T&Cs in their updated version. Retailers participating in the Reusable Scheme are contractually obliged to make the most recent version of these T&Cs available to End Customers in a timely manner, in the forms and by the methods agreed with Movopack.

Art. 16 — Governing law and jurisdiction

These Terms and Conditions are governed by Italian law. For any dispute relating to the interpretation, validity or application of these T&Cs, the End Customer acting as a consumer may bring proceedings before the court of their place of residence or elected domicile, in accordance with the provisions of Article 66-bis of Legislative Decree 206/2005 (Consumer Code), which establishes the mandatory jurisdiction of the consumer’s court. Without prejudice to the consumer’s exclusive jurisdiction, the Court of Milan shall have exclusive jurisdiction over any disputes with parties who do not qualify as consumers within the meaning of the Consumer Code. The End Customer is also entitled to make use of the alternative dispute resolution (ADR) procedures provided for by the applicable legislation and the online dispute resolution (ODR) platform made available by the European Commission at https://ec.europa.eu/consumers/odr, in the cases and under the conditions provided for by current legislation.

Art. 17 — Contact Details

For any information, clarification or report relating to these T&Cs, the operation of the Movopack Reusable Circuit or the processing of personal data, the End Customer may contact Movopack SB S.r.l. at the email address info@movopack.com or at the certified email address movopack@legalmail.it. For matters relating to the commercial relationship with the Retailer, including those concerning product prices, the deposit, rewards, terms of sale or after-sales service, the End Customer is invited to contact the Retailer from whom they made the purchase directly, using the contact channels made available by the Retailer.

Art. 18 — Final provisions

Should one or more provisions of these T&Cs be declared null and void, invalid or ineffective by a competent judicial or administrative authority, the remaining provisions shall retain their full validity and effectiveness. In such a case, the provision declared invalid shall be interpreted or replaced, as far as possible, with a valid provision that achieves the economic and legal purpose originally intended, within the limits permitted by law. Any failure or delay on the part of Movopack to exercise any right or power provided for in these T&Cs shall not constitute a waiver of that right nor shall it prejudice Movopack’s right to exercise it at any subsequent time. These T&Cs are made available in Italian, which constitutes the authentic and prevailing version. In the event of any translation into other languages carried out for the purposes of courtesy or accessibility, the Italian version shall prevail in the event of any discrepancy or conflict. These T&Cs, together with Movopack’s Privacy Policy, constitute the entire agreement governing the relationship between Movopack and the End Customer in relation to participation in the Reusable Scheme, it being understood that the sale of products remains governed exclusively by the Retailer’s terms and conditions.
